Nobul AI Corp and Check-Cap Ltd Merge Deal

 


Nobul AI Corp. and Check-Cap Ltd. have officially announced their agreement to merge and form a new company. Under this agreement, the majority shareholders of Nobul will become the majority holders of the combined company. If everything goes as planned, the new company will be headquartered in Toronto, Canada and will focus on an AI-driven fintech marketplace. Additionally, it will also acquire and enable traditional companies using AI to generate higher returns for its shareholders.


As part of this transaction, the combined company will seek to be listed on the NASDAQ and TSX. However, this listing will be subject to meeting all the necessary requirements and obtaining approval from the NASDAQ and TSX. The executive team of Nobul, led by Regan McGee, will continue to serve as the executive team of the new company.


Paul Medeiros, Chairman of the Board of Directors of Check-Cap, expressed his excitement about this agreement, stating that it will allow the new company to generate strong returns for its shareholders. After carefully considering various strategic alternatives, Check-Cap's Board of Directors concluded that merging with Nobul is in the best interest of their shareholders. A special meeting of Check-Cap shareholders will be held in the near future to vote on this business combination.
